ENGAGEMENT LETTER

     This letter is an acknowledgement of our verbal agreement to represent you in the above referenced matter.  The provisions of the letter also apply to all subsequent investigative work, which we may do for you.

     Before we perform services for you, we require a retainer of $___________.  This retainer will be applied to out-of-pocket expenses incurred, including but not limited to filing or service fees, records checks, investigation expense, long distance telephone charges and travel expense.  You will be billed periodically for services rendered at the rate of $_________ per hour and ________-cents per mile, and you will be expected to pay each statement immediately upon receipt.  We reserve the right to apply, at any time, all or any portion of the retainer to charges for services rendered.  Our total billing to you for services and expenses in this investigation will not exceed $ __________ without prior written consent of both parties.

     A late payment charge of 1.5% per month will be applied to any potion of the balance of a billing, which is unpaid on the 10^th day of the month following the month in which the billing was issued.  We reserve the right, at our discretion, to (1) terminate our services at any time upon written notice, and/or (2) charge you for collection costs on delinquent accounts.

     If you have a question or discover an error on our statement, we are to be notified in writing within 30 days of the statement date or you will have agreed that you owe the amount billed.  We have agreed that any fee dispute will be arbitrated pursuant to the state mandatory arbitration laws pursuant to ORS 36.405.  You agree to be responsible for all attorney or legal fees incurred by us as a result of any fee dispute or collection.

     If in any administrative or judicial proceeding we should be questioned about any matter in which we represent you, you hereby instruct us to claim privilege.
